LEGAL UPDATE: Notification on Obligation to Apply for a Business License from the Real Estate business and Pawnshop Regulator

The Real Estate Business and Pawnshop Regulator ("RPR") under Non-Bank Financial Services Authority ("FSA"), issued a notification on June 17, 2025, regarding the requirement to apply for a business license from RPR ("Notification"), reinforcing that engaging in real estate and pawnshop operations without a valid license from RPR is a regulatory offense that carries legal penalties.

  1. Scope of RPR Licensing Conditions

Before starting operations, the RPR requires the following business activities to have a license:

  • Residential development includes the building and marketing of apartment buildings, detached villas, twin villas, link villas, and residential communities.
  • Co-owned real estate development includes mixed-use, office, commercial, and condominium structures.
  • Development of land lots: agricultural, commercial, and residential property parcels.
    Property management, appraisal, and real estate agency services are examples of real estate services.
  • Enterprises that include the pledge or assignment of moveable property as security for loans with agreed-upon terms of repayment are known as pawnshops and pledge enterprises.

 

  1. Submission Procedures

During official business hours, applicants must fill out the required application forms and turn them in to the FSA at Building No. 168F, 7th Floor, Street 598, Sangkat Chrang Chamres 1, Khan Russey Keo, Phnom Penh.

3. Regulatory Repercussions of Non-Compliance

The Notification reiterates that organizations engaging in or intending to engage in regulated real estate or pawnshop operations without a current RPR license would face severe enforcement under relevant Cambodian legislation. Regulatory repercussions for noncompliant operations could include administrative fines, enforcement actions, and possible economic activity disruption.
